Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 29, 2017, Douglas K. Ammerman resigned as a director of the registrant. To the knowledge of the executive officers of the registrant, Mr. Ammerman did not have any disagreement with the registrant on any matter relating to the registrant’s operations, policies or practices, and resigned solely due to personal reasons.
Mr. Ammerman was chairman of the registrant’s audit committee and a member of its compensation committee.
Accordingly, on March 31, 2017, the board of the registrant appointed director William R. Floyd to the audit committee and designated him as audit committee chairman and audit committee financial expert.
